SERVICE AGREEMENT
Effective Immediately Upon Purchase
Compassionate Medical Media LLC
This Service Agreement (“Agreement”) is a legally binding contract between Compassionate Medical Media LLC, a limited liability company organized under the laws of the State of Florida (“Provider”), and any individual or entity that purchases access to Provider’s digital educational offerings (“Client” or “User”).
By completing a purchase and accessing the Course, Client affirms that they have read, understood, and agreed to be bound by the terms and conditions herein. If Client does not agree to all terms, access to the Course is not authorized.
1. Scope of Services
Upon successful purchase, the Provider shall grant the Client a revocable, non-transferable, non-exclusive license to access the digital educational course(s) (“Course”) specified at checkout. This may include:
- Pre-recorded instructional video content;
- Downloadable educational resources or checklists;
- Interactive components such as quizzes or assessments;
- Access to a private online community (see Section 10).
Access Duration: Unless otherwise specified at the time of purchase, access to the Course and associated community is granted for 12 months from the date of purchase.
The Provider reserves the right to modify, improve, update, or remove portions of any Course at any time without prior notice, provided that the Client retains reasonable access to the core material promised at the time of purchase. The Provider does not guarantee uninterrupted access, and temporary outages may occur.
2. Payment Terms and Refund Policy
All fees are due in full at the time of purchase. Purchases are processed through secure third-party payment providers, and the Client affirms they are authorized to use the selected payment method.
Refund Policy: All sales are final. No refunds will be issued for any reason, except where otherwise required by law.
The Provider complies with all applicable state and federal consumer protection laws, including those governing digital services.
3. License and Permitted Use
Client is granted a limited license for personal, educational, and non-commercial use only. The Client shall not:
- Share, distribute, copy, reproduce, or publicly display Course materials;
- Provide access to the Course to any other person, organization, or third party;
- Resell or sublicense any portion of the Course or associated materials;
- Capture, record, or otherwise reproduce content for offline use beyond permitted downloads;
- Use, upload, or otherwise provide any portion of the Course content or materials to any artificial intelligence program, large language model, or generative AI tool for training, analysis, or content creation purposes without the express written consent of the Provider.
Violations of this section may result in immediate revocation of access without refund and may subject the Client to legal liability for damages and injunctive relief.
4. Intellectual Property
All Course content is the sole property of Compassionate Medical Media LLC or its content partners and is protected under United States copyright, trademark, and intellectual property law. Nothing in this Agreement conveys any ownership interest or other rights beyond the limited license explicitly granted herein.
5. Accreditation Disclaimer
Where AMA PRA Category 1 Credits™ credit is advertised, the Course has been developed in accordance with the standards of an accredited Continuing Medical Education (“CME”) provider. The Provider makes no guarantee of credit approval by a third-party accredited provider unless otherwise specified.
Certificates are issued only upon full completion of all required components and assessments. The Provider may update CME eligibility at any time to remain compliant with accrediting body requirements.
Courses not designated as CME-accredited are offered for informational purposes only and confer no professional or licensure credit.
6. Disclaimer of Guarantees
The Provider makes no representations or warranties regarding the Client’s educational outcomes, career advancement, credentialing success, or clinical decision-making as a result of Course completion.
The Course is educational in nature and is not intended as a substitute for independent clinical judgment or legal advice.
7. Limitation of Liability
To the maximum extent permitted by law, the Provider shall not be held liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from or related to access or use of the Course, including but not limited to:
- Delays in licensure or employment;
- Loss of data or service interruption;
- Clinical or professional decision-making outcomes.
In no event shall the Provider’s total liability exceed the amount paid by the Client for the specific Course giving rise to the claim.
8. Force Majeure
The Provider shall not be liable for failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, internet outages, strikes, war, government restrictions, cyberattacks, or pandemics.
9. Termination
The Provider reserves the right to revoke Client’s access at any time if Client breaches any provision of this Agreement. No refund will be provided in such cases. Upon termination, Client must immediately discontinue use and delete any downloaded materials.
10. Community Access
Access to the private online community (e.g., LinkedIn group, forum, or similar platform) is provided as a courtesy for enrolled Clients for the duration of their course access. The Provider is not responsible for the actions or content posted by other users. The Provider reserves the right to moderate, restrict, or remove any user from the community for any reason, including but not limited to violation of community guidelines or this Agreement. Access to the community is tied to your course access duration and may be discontinued at the Provider’s discretion.
11. Course Updates and Add-ons
The Provider may, at its discretion, update or enhance the Course content. Unless otherwise specified, access to future updates or additional materials may require an additional fee. The Provider is under no obligation to provide updates or add-ons free of charge.
12. Privacy and Data Protection
The Provider collects and processes certain personal information for the purpose of delivering the Course and related services. By purchasing and accessing the Course, the Client consents to the collection, use, and processing of their personal data in accordance with the Provider’s Privacy Policy. The Provider complies with all applicable data protection and privacy laws.
13. Modification of Agreement
The Provider reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting to the Provider’s website or notification to the Client. Continued use of the Course after such changes constitutes acceptance of the modified Agreement.
14. Severability
If any provision of this Agreement is determined to be unlawful or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.
15. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict of laws principles. Any dispute arising under or in relation to this Agreement shall be brought exclusively in the courts located in the State of Florida, in a venue determined by the Provider.
If the Client resides in a jurisdiction that prohibits such a clause, then the Agreement shall be enforced to the maximum extent permitted under applicable law.
16. Digital Acceptance and Execution
By completing a purchase and accessing the Course, the Client affirms that they have read, understood, and agreed to be legally bound by this Agreement. The act of electronic purchase constitutes a valid and binding signature under applicable electronic transaction laws.
